PUBLIC OFFER AGREEMENT
of the online store "Revive&Thrive"
 
(current version as of 25 February 2024).
 
1. Terms and definitions. 
1.1. "Public Offer Agreement" or "Agreement" means a public Agreement, a sample of which is posted on the Website at the following link: https://www.reviveandthrive.com.ua/public-offer and the application of which is mandatory for everyone who wishes to purchase the Goods, the image of which is posted on the Site, and is also directed to an indefinite number of persons, including Buyers.
1.2. The "Seller" is the individual entrepreneur Gorlo Yana Nodarievna, EDRPOU 2734815910, which is registered in accordance with Ukrainian law and which owns or distributes the Goods through the Website and intends to sell them. 
1.3. "Price" - the value expressed in the monetary unit of the Ukrainian hryvnia (UAH), which the Buyer is obliged to pay to the Seller for the Goods. 
1.4. "Registration Form" means a form available on the Website that allows the Buyer to create an Account.
1.5. "Buyer" - any legally capable individual in accordance with the current Ukrainian legislation who has visited the Site and intends to purchase or has purchased a particular Product.
1.6. "Account" means an individual account of the Buyer through which the Seller collects the data provided by the Buyer and sells the Goods. Using the Account, the Buyer can: 
- place an Order, buy the Goods and conclude the Agreement;
- exercise the right to return or exchange the Goods provided for in Section 8 of this Agreement.
1.7. "Basket" - the electronic basket of the Site, where the Buyer checks or edits the data about the Goods, and, if necessary, completes the Order and concludes the Agreement. 
1.8. "Privacy Policy" - a document that defines the provisions for the processing of personal data. The full text of the Privacy Policy is available at the following link: https://www.reviveandthrive.com.ua/privacy-policy  
1.9. "Goods" - a movable item from the category of goods or services available on the Site that the Buyer can buy.
1.10. "Website" - https://www.reviveandthrive.com.ua/. Through the Website, the Seller sells the Goods to the Buyers, informs about promotions, Goods, posts up-to-date documentation regulating the relationship with the Buyer, etc.
1.11. "Order" - the Buyer's request to purchase the Goods through the Site or otherwise through the Site (by phone or email). To place an Order, the Buyer must provide the following information  
- surname and name;
- data about the Goods;
- phone number;
- email address;
- delivery (sending) address of the Goods.
The Order is formed for the purpose of purchasing the Goods from the Seller, as well as concluding the Agreement. The Order may be placed through the Account or in any other way specified in this Agreement. A prerequisite for the purchase of the Goods is familiarisation with this Agreement, the Privacy Policy, as well as its acceptance by the Buyer. 
2. General provisions.
2.1 This Agreement defines the rules for processing Orders, sale/return of the Goods, as well as other conditions.  
3. Creating an Account.
3.1. Registration and creation of an Account is carried out by filling out the Registration Form by the Buyer. The Registration Form must necessarily contain: 
- surname and name of the Buyer;
- the Buyer's email address;
- telephone number of the Buyer;
- other additional information (at the request of the Buyer).
Login to the Account is carried out by entering a login and password.
3.2. Before completing the process of creating an Account, the Buyer must read the Privacy Policy and this Agreement. The condition for completing the registration (creation) of the Account is the Buyer's agreement with the Privacy Policy and this Agreement. 
3.3 The Buyer undertakes not to disclose his/her login and password to third parties, which are required to log in to the Account. The Buyer is responsible for logging into the Account by third parties in case of disclosure of the login or password.
3.4. The Buyer understands that in order to create an Account, it is necessary to provide their personal data and ensure their accuracy.
3.5. The Buyer may delete his/her Account at any time of the day without giving any reason and without charging any fees. In case of deletion of the Account, all data will be deleted, except for those necessary for the consideration of complaints, inquiries, requests or suggestions. The Buyer's data contained in the Seller's tax documents and related documents will be stored until the expiration of the statute of limitations for tax liabilities in accordance with the tax legislation of Ukraine.
4. Technical requirements for using the Website.
4.1 For the full use of the Website, including viewing the available range of Goods, services and creating an Order, etc: 
a) a mobile device, computer or tablet with access to the Internet;
b) an active email account;
c) enable cookies in accordance with the information provided in the Privacy Policy.
4.2. The Seller hereby informs that the public nature of the Internet and the use of electronic services may lead to the risk of obtaining and changing the Buyer's data by unauthorised persons, therefore, appropriate measures should be taken to minimise the above risks. In particular, the Buyer shall use anti-virus and identity protection programmes for Internet users. The Seller shall never ask the Buyer to provide it with a password in any form to its Account.
4.3. The Buyer understands that the refusal of the Privacy Policy or this Agreement may entail restrictions on the Buyer's purchase of the Goods and the exercise of other rights provided for by this Agreement.
5. Conclusion of the Agreement. 
5.1. To place an Order and purchase the Goods (conclude the Agreement) on the Website, the creation of an Account is not required.
5.2. The formation of the Order is the Buyer's desire to conclude this Agreement with the Seller.
5.3. To place an Order, the Buyer shall (without creating an Account):  
- visit the Website;
- select the Goods of the appropriate assortment that suits the price and select "Additions to the Basket";
- select "Go to Order Formation";
- indicate your surname and name;
- provide your email address and phone number;
- provide information about the delivery address;
- choose one of the available payment methods for the Goods (conclusion of the Agreement);
- complete the formation of the Order.
5.4. To place an Order, the Buyer must (with the creation of an Account):  
- visit the Website;
- create or log in to the Account by entering a username and password;
- select the Product of the appropriate assortment that suits the Price and select "Add to Cart";
- select "Proceed to Order Formation";
- provide information about the delivery address;
- choose one of the available payment methods for the Goods (conclusion of the Agreement);
- complete the formation of the Order.
5.5. Before completing the formation of the Order, the Seller shall indicate the total cost of the Goods that the Buyer plans to buy and the delivery time of the Goods. Depending on weather conditions or other factors that may affect the delivery time, the delivery time of the Goods may be changed. 
5.6. Upon completion of the Order and receipt of payment for the Goods (in case of prepayment) from the Buyer (conclusion of the Agreement), the Seller shall provide confirmation and notify the Buyer of the dispatch of the Goods. Confirmation is carried out by the Seller sending a corresponding e-mail to the e-mail address specified by the Buyer when placing the Order. The confirmation shall indicate the range of the Goods, their cost, delivery time and other data relating to the Goods. 
5.7. The Seller has the right to partially or completely refuse to sell the Goods to the Buyer and conclude the Agreement if:
- the Seller temporarily does not have the required Goods;
- the Buyer does not provide information about the delivery address of the Goods;
- the delivery address of the Goods is outside Ukraine;
- the Buyer fails to provide his/her full name;
- failure of the Buyer to provide his/her email address and phone number;
- the Seller tried to contact the Buyer at the email address or phone number provided by the Buyer for two consecutive business days to clarify the data, but no response was received. 
5.8. The prices on the Website, which are placed next to the Goods, do not include information on the cost of delivery (if delivery is paid) to the Buyer and any other costs that the Buyer will be obliged to incur in connection with the purchase of the Goods and the conclusion of the Agreement. 
5.9. The Seller reserves the right to update the Prices for the Goods available on the Website. 
6. Payment procedure.

6.2. The Goods can be sent to the Buyer after 100% prepayment or after payment upon receipt of the Goods at the branch of the transport company (carrier). The full list can be found here: https://www.reviveandthrive.com.ua/support 
6.3. To place an Order and pay for the Goods using online methods, the Buyer must have the required amount of funds on the bank card. 
6.4. The Buyer agrees that the Seller shall issue paper receipts/invoices, which are a confirmation of payment for the Goods and the conclusion of the Agreement. Such paper receipts/invoices shall be sent to the Buyer together with the Order. 
7. Delivery of the Goods.
7.1. The Goods can be delivered to the Buyer within Ukraine by the following courier companies: "Nova Poshta". The Buyer will receive confirmation of the ordered Goods. When the shipment with the Goods is ready for dispatch, the Buyer will receive an email or SMS with a tracking link. 
7.2. Upon actual delivery of the Goods to the Buyer, the latter shall accept and inspect the Goods and pay for them (in case of payment). In case of defects, deficiencies, shortages, etc., the Buyer has the right to draw up a relevant protocol with a representative of the courier company and/or refuse to receive the Goods. In this case, the Buyer shall also have the rights specified in Section 8 of this Agreement.
8. Exchange and return of the Goods.
8.1. The exchange and return of the Goods shall be carried out in accordance with the terms of this section.
8.2. According to the Resolution of the Cabinet of Ministers of Ukraine No. 172 dated 19.03.1994 "On Implementation of Certain Provisions of the Law of Ukraine "On Consumer Protection" (as amended), dietary supplements are classified as food products, and accordingly, are not subject to exchange and return
8.3. The Seller undertakes to provide the Buyer with the Goods without defects, which can be used for the purposes provided for similar types of goods. The Seller shall be liable for defective Goods under the conditions set forth in the current legislation of Ukraine. 
8.4. In case of detection of defects in the Goods upon receipt, the Buyer is obliged to record them in a free-form act. The act must be signed by the Buyer and the person who delivered the Goods or the Seller. If possible, the defects should be recorded by means of photo or video recording. Within 1 (one) day, the Buyer is obliged to notify the Seller (the Seller's representative responsible for placing the Order for the Goods) of the identified defects and agree on the replacement of the Goods.
8.5. In accordance with clause 8.4. of this Agreement, if the Buyer identifies defects (defects) in the Goods, the Buyer has the right 
- to replace the Goods with defects (defects) with similar Goods or to reduce the value of the Goods;
- to return the Goods to the Seller and refund to the Buyer.
8.6. The Buyer agrees and understands that the Goods may be returned to the Seller in the same way as they were last sent (transferred) to the Buyer.
8.7. The costs of replacing defective Goods or eliminating defects in the Goods shall be borne by the Seller. 
8.8. The Seller shall satisfy the claim provided for in clause 8.5. of this Agreement within a reasonable time without undue inconvenience to the Buyer. The Seller shall satisfy the claim and/or reimburse the Buyer (in case of payment for the Goods) specified in clause 8.5. of this Agreement, provided that the Buyer returns the Goods and receives them by the Seller. Such monetary compensation/replacement/elimination of defects of the Goods shall be made after inspection of the Goods and within a reasonable time, but not longer than 14 (fourteen) calendar days from the date of receipt by the Seller from the Buyer of the Goods specified in clause 8.5. of this Agreement. The Seller has the right to refuse the Buyer to satisfy his right under clause 8.5. of this Agreement if he has sent (returned) to the Seller other Goods than the one that was declared for return or replacement. 
8.9. The Seller may refuse to satisfy one of the Buyer's rights provided for in clause 8.10. of this Agreement if the elimination of defects in the Goods is economically impractical, and it is economically feasible to provide the Buyer with similar Goods. The Seller may also refuse to replace the defective Goods if the Seller's warehouse does not have such Goods, then the Buyer shall be refunded within 14 (fourteen) calendar days from the date of receipt of the request (demand) from the Buyer provided for in clause 8.5 hereof. 
8.11. In order to exercise the right specified in clause 8.5 of this Agreement, the Buyer shall submit a corresponding application (request / demand) to the Seller

8.12. The application must necessarily contain 
- full name of the Buyer;
- contact phone number and email address of the Buyer;
- date of detection of the defect in the Goods;
- proof of purchase of the Goods from the Seller;
- a brief summary of the circumstances.
8.13. The Seller is obliged to respond to the Buyer's application (request/request) submitted in accordance with clause 8.5. of this Agreement within 14 (fourteen) calendar days. If the Seller fails to respond within the above period, the request shall be deemed satisfied.
9. Dispute Resolution Procedure.
9.1. This Agreement shall be governed and interpreted in accordance with the current legislation of Ukraine.
9.2. All disputes arising out of this Agreement shall be settled by the Parties through negotiations, and in case of failure to reach an agreement between the Parties through negotiations, the dispute shall be resolved in court in accordance with the current legislation of Ukraine.
10. Protection of personal data.

11. Final provisions. 
11.1. The content of this Agreement is available to anyone free of charge and without any time limits.
11.2. The Agreement may be amended in the following cases: 
- bringing the Agreement in line with the law;
- change of the rules of the Website and the sale of the Goods;
- change in the procedure for payment, delivery or return of the Goods;
- change in the functioning of the Site, which is necessary to maintain security.
11.3. Each Buyer who has an Account will be informed of changes to this Agreement by sending an email to the email address specified by him. Such notifications will be sent no later than thirty (30) calendar days prior to the entry into force of the amendments to the Agreement. If the Buyer does not accept the new changes, he/she has the right to refuse them. In this case, the Buyer understands that such a refusal may result in the Seller's restriction or refusal to use the Site or purchase the Goods. 
11.4. The Buyer is obliged to use the Website in a manner that complies with the requirements of the law, morality and not to distribute illegal content. In case of violation of this clause, the Seller has the right to restrict or block access to the Website, as well as to refuse to sell the Goods. 
11.5. By this Agreement, the Seller informs the Buyer that all content on the Website is a work within the meaning of the Law of Ukraine "On Copyright and Related Rights". The Seller informs the Buyer that the distribution of the content by the Buyer without the consent of the Seller, except for the use of the content within the permitted personal use, is a violation of the Seller's intellectual property rights and may lead to liability in accordance with the laws of Ukraine.
11.6. Creating an Account, placing an Order, filling out the Registration Form, paying for the Goods or visiting the Website means that the Buyer has agreed and accepted this Agreement and the Privacy Policy in full and without objection.
